Buying Property Through Power of Attorney in Uttar Pradesh: Risks and Registration

Follow a UP-focused transaction workflow to verify the owner, attorney, powers, property and final sale deed before completing a represented sale.

Can property in UP be sold through a power of attorney?

An owner can act through a legally authorised representative for acts that the authority and applicable law permit. In a genuine represented sale, the owner conveys the property through an attorney acting within valid powers, and the appropriate conveyance is executed and registered. The buyer does not acquire ownership merely by purchasing or receiving a power of attorney.

This distinction is central to a power of attorney property sale in UP. A GPA, agreement, receipt and possession letter are not automatically equivalent to a registered conveyance. The Supreme Court's Suraj Lamp decision explains why agreement/GPA/Will arrangements do not substitute for the conveyance required to transfer title, while recognising genuine agency arrangements.

This 2026 guide focuses on the UP transaction file: authority, registration preparation, payment and completion. It does not certify a newly announced statewide POA fee, authentication rule or online exception. Check the current requirements through IGRSUP and the governing law on India Code.

For a wider discussion of agency risks, read the existing Buying Property Through a Power of Attorney guide. The workflow below shows how to connect those checks to the proposed UP sale.

Genuine represented sale versus an informal GPA purchase

Two transactions often described as a POA sale
ArrangementWhat is actually happeningBuyer requirement
Owner conveys through authorised attorneyThe attorney performs permitted acts for the owner in a properly documented sale.Verify owner's title, valid authority, consideration, conveyance and applicable registration requirements.
Buyer receives only GPA and agreement papersAgency and contractual documents are offered as though they themselves transferred ownership.Do not treat the bundle as a substitute for the required conveyance; identify the actual legal rights and completion route.
Attorney offers their own propertyThe person may be acting as owner rather than representative for that interest.Establish the acquisition title and distinguish personal ownership from powers held for another.
One co-owner appoints attorneyAuthority concerns that principal's rights within its scope.Do not assume the attorney can convey other co-owners' interests without their valid participation or authority.
Developer or employee signsAuthority may arise from entity and development documents.Examine the legal owner, development rights and transaction-specific authorisation.

Begin with the principal's title

The principal is the person granting authority. Check how that person acquired the property, what interest they hold and whether the offered parcel or unit matches the title. A genuine POA cannot give the principal rights they never acquired.

Read the acquisition deed, material prior links, shares, succession and authority conditions. For leasehold or allotted property, check transfer restrictions and permissions. For agricultural land, examine tenure and intended-use issues separately from the representative's identity.

Compare the title schedule with the physical property and any approved layout. An attorney's familiarity with the site or possession of photocopies is not proof of the owner's title. Our Lucknow title verification guide explains the complete ownership review.

Identify each person and their role

Principal or ownerGenuine identity, ownership interest, capacity and knowledge of the proposed transaction.Title documents, identity material and the authority granted.
AttorneyGenuine identity and powers covering the acts to be performed.Complete POA, relevant formalities and continuing validity.
PurchaserCorrect identity, intended ownership shares and payment obligations.Agreement, finance records and final deed.
Other owners or heirsInterests not covered by the principal's sole title.Shares, succession, partition or separate participation and powers.
Entity signatoryLegal entity, property rights and lawful transaction authority.Constitutional, resolution, development or other relevant authority records.
Lender or authoritySecurity, custody, permission or transfer conditions affecting completion.Loan, lease, allotment and release or consent documents.

Use independently established contact details to confirm the principal's participation where practicable. A phone number supplied only by the attorney should not be the sole basis for owner confirmation. Record the confirmation in a manner appropriate to the transaction, while recognising that it does not replace the authority document.

Read powers act by act

A document labelled “general power of attorney” may still contain limits, conditions or omissions. Read the operative clauses, schedules and annexures. Authority to manage property, collect rent or pay bills should not automatically be treated as authority to sell.

Identify whether the attorney can negotiate, execute the conveyance, receive consideration, deliver possession and undertake the registration acts required. Check any minimum price, named purchaser, time limit, consent condition or restriction on delegation.

POA clauses to check against the proposed UP sale
Proposed actAuthority questionTransaction consequence
Agree the price and termsDoes the instrument permit negotiation or require the principal's specific approval? The agreement should not exceed a price, person or condition limit in the power.
Execute the sale deedIs conveyance of the particular property or interest within the grant?A management power alone does not establish the necessary sale authority.
Receive moneyCan the attorney receive consideration, and are payment recipients or conditions specified?Payment instructions must align with valid authority and the completion agreement.
Deliver possessionDoes the power cover handover and related acknowledgements? The deed should not falsely record delivery the representative cannot perform.
Present or admit executionWhat statutory role is the attorney performing and what authority formalities apply?Execution and presentation requirements must be analysed for the actual instrument and role.
Appoint a substituteIs delegation permitted and has a valid further authority been created?A relative or employee cannot simply replace the named attorney without a legal basis.

Registration, authentication and stamping in UP

The Registration Act contains provisions dealing with presentation and powers of attorney, including Sections 32 and 33 in their respective operation. The correct analysis depends on who executes, who presents and the capacity in which the person acts. Avoid a blanket claim that every notarised POA is sufficient or that every POA must follow one identical route.

Stamp treatment is a separate question. Identify the instrument, place of execution, powers, consideration or interest where relevant and the applicable UP provisions and notifications. An authentication stamp does not automatically settle stamp duty or registration requirements for every use.

Is the authority still operating?

Check expiry, revocation, completion of purpose and relevant events affecting the agency. Ask about later powers, cancellation, disputes or changes in the principal's circumstances. An old certified POA copy proves the recorded instrument, not necessarily its continuing operation at completion.

Death and incapacity can affect authority under the governing agency rules. The word “irrevocable” is not a universal answer. Section 202 of the Indian Contract Act concerns an agency in which the agent has the relevant interest in the subject matter; whether the exception applies requires examination of the actual arrangement.

A buyer should not accept a post-death conveyance on an ordinary old POA merely because a representative says it remains valid. Establish the legal position and necessary succession or other authority before proceeding.

Payment should follow verified authority

Identify the owner entitled to the consideration and any lawful authority for receipt by another person. Reconcile the agreement, POA, bank instructions and deed. A last-minute request to send funds to an unrelated account requires an authentic explanation and approval from the legally entitled person.

Record what is paid, to whom and at which milestone. If a lender must be discharged, coordinate that payment with the release and original-document delivery. The attorney's receipt cannot discharge security rights that the lender still holds.

Overseas owners and NRIs

An owner abroad can raise additional formalities for the POA, including the legally accepted execution or authentication route and its treatment when used in India. Establish the actual country, execution method and instrument before applying a generic online checklist.

The registration and stamp position is only part of an overseas transaction. The owner's status, payment route, tax obligations and applicable foreign-exchange framework may require separate work. A domestic identity or biometric step does not answer every NRI completion issue.

Settle the complete authority and payment arrangement before booking registry. Keep the owner, attorney, purchaser and professionals aligned on the final deed and handover obligations. Remote participation should not produce inconsistent versions of the agreed transaction.

Self-dealing and conflicts of interest

A transaction in which the attorney buys the property personally, sells to an associate or controls both sides of payment needs close examination of authority, informed consent and the agency duties involved. A broad clause should not be treated as a universal permission to disregard conflicts.

Obtain the actual owner's instructions and examine the terms and powers. The buyer's file should explain why the person executing can lawfully act in the proposed structure. An apparently convenient arrangement can create a separate challenge if that foundation is absent.

Example: power to manage, but no demonstrated power to sell

Assume the owner lives elsewhere and appoints a relative to collect rent and pay local bills. The relative then offers the property for sale, saying the document is a GPA. The title of the document does not answer whether a conveyance is authorised.

Authority-gap example and the documents needed
IssueWhat the current paper may showRequired clarification
OwnershipThe principal may genuinely own the property.Verify title independently of the agency document.
ManagementRent collection and payment of expenses may be authorised.Determine whether sale and conveyance powers actually exist.
Receipt of priceThe relative may have received rent historically.Establish authority to receive sale consideration and the owner's instructions.
Registration actsNo clear power may cover the proposed execution or presentation role.Complete the legally required authority and formalities before closing.

A lawful solution may involve a properly constituted authority or direct owner execution, depending on the facts. The buyer should not solve the gap by simply inserting a statement in the deed that the attorney has unrestricted powers.

Complete the UP registry and handover file

Prepare the final deed with accurate capacities, property, price and possession. Confirm the current identification and attendance requirements and preserve the official payment and registration records. Our UP registry guide explains the broader process.

At handover, obtain the agreed originals, keys, possession record and any lender or authority documents. The owner-through-attorney structure should deliver the same clearly defined property and completion obligations as another properly documented sale.

Check consistency across the final closing pack

A represented sale can involve several versions of the same facts: the owner's instructions, attorney's working draft, portal particulars, bank demand and final conveyance. Before execution, compare them as a single pack. Each should describe the same property, parties, capacities, consideration and completion arrangement.

A late change deserves a targeted review. Adding land, changing the buyer, reducing the price below a power's limit or appointing another signatory may exceed the original authority even if an earlier draft was acceptable.

Last-stage POA closing consistency check

Property or areaPrincipal's title and the POA schedule.Establish authority over the revised land and reconcile the deed and assessment.
PurchaserAny named-buyer or consent condition in the power.Obtain the legally necessary authority or consent for the actual counterparty.
PricePower limits, owner instructions and agreed consideration.Resolve the authority condition and accurately record the bargain.
Recipient of moneyReceipt powers, verified owner instruction and contract.Confirm who can lawfully receive each payment and retain the instruction.
SignatoryNamed attorney, delegation clause and actual representative.Verify lawful substitution or use the person with valid authority.
PossessionOwner's control, occupants and attorney's powers.State the true handover position and the acts required to deliver it.

The buyer should keep the authority review with the final version rather than a draft that changed later. A report on a different property schedule or payment arrangement cannot silently validate the revised transaction.

The owner should also understand what the final deed records. Where practical, circulate the agreed final version through independently verified contact and retain the material confirmation. That supports clarity, while the legal authority and formal requirements remain the foundation of execution.

After registration, reconcile the registered instrument with the completion records. Record any outstanding obligation, such as a later lender document or authority update, with a responsible person and evidence required. Do not describe the transaction as fully handed over if originals or possession remain under a different agreed milestone.

These checks make the agency structure visible and accountable. The record should explain not just who signed, but for whom, under what power, for which property and with what money and possession delivered.

Frequently asked questions

Does a registered GPA make the attorney the owner?

No. A power creates authority within its legal scope. Ownership requires the applicable acquisition or conveyance, not merely the existence or registration of an agency instrument.

Can an attorney sell every co-owner's share?

Only rights covered by valid authority and the owners' legal interests can be addressed. One principal's power does not automatically bind other owners.

Is notarisation always enough for UP registry?

Determine the actual execution, presentation, authentication, stamp and registration requirements. The answer depends on the instrument and role; a blanket assurance is incomplete.

Does “irrevocable” mean the power survives every event?

No. Examine the governing agency law and any relevant exception on the actual facts. The label alone does not establish ownership or perpetual authority.

Use IGRSUP for registration services and India Code for the Registration Act, Contract Act and relevant property laws. Read the certified sale deed guide for source instruments and the title verification guide for the ownership analysis.

A sound represented sale connects a genuine owner, valid current authority, correctly framed conveyance, lawful payment and documented completion. Those connections are what the buyer should verify before treating a POA transaction as ready for registry.
