Legal support for a business across its documentation, its obligations and the disputes it encounters.
Corporate and Contracts
Businesses tend to need legal input at three moments: when they are being set up or restructured, when they are entering into something significant, and when something has gone wrong. Work done at the first two of those is far cheaper than work done at the third, and considerably more effective.
This page covers corporate work generally — advice on structure and documentation, the internal records a business is expected to keep, and commercial disputes. The individual drafting services have their own pages, linked below, and registration and tax compliance are handled within the firm's other practice areas.
Who this may assist
If your situation is not listed, it does not mean it cannot be dealt with. It means it should be discussed.
You are deciding between a proprietorship, a partnership, an LLP or a company, and want the consequences explained.
Documentation has grown piecemeal and needs to be reviewed as a whole.
A large contract, a new partner or an investment requires documentation.
A counterparty is in breach and the contractual position needs assessment.
Scope
Process
The sequence varies with the facts and the forum. This is the usual shape of it.
What it does, how it earns, who it contracts with, and what has caused difficulty so far.
Constitutional documents, contracts in use, employment papers and any notices received.
What is undocumented, what is out of date, and what carries risk disproportionate to the transaction.
Drafting or revising the agreements, in a form the business can actually use repeatedly.
Advice as questions arise, either matter by matter or under a retainer.
Preparation
Bringing what you have makes the first discussion considerably more useful. Missing items can be obtained later.

The practice
Each advocate of the firm is enrolled with the Bar Council of Uttar Pradesh and holds a Certificate of Practice.
Questions
It depends on how many people are involved, whether outside investment is contemplated, what compliance burden is acceptable and how liability should sit. Each form has consequences that are easier to choose between at the start than to change later, and the tax position should be considered alongside the legal one.
The smaller the business, the less it can absorb a dispute. A short written agreement covering payment, delivery, liability and termination is usually enough, and is a great deal better than reconstructing terms from a chain of messages.
Yes. See business registration for company, LLP and firm formation, and tax and GST for income-tax and GST work. Both are coordinated with the documentation so that the agreements and the filings are consistent with each other.
For most small and medium businesses it means keeping the constitutional documents current, maintaining the registers and resolutions the applicable law requires, filing what has to be filed on time, and ensuring the agreements in use reflect how the business actually operates.
Where the firm works
The firm's office is in Lucknow. Matters arising in other districts of Uttar Pradesh are conducted from Lucknow before the court, tribunal or authority that has jurisdiction over them. There is no branch office elsewhere. Which forum will hear a particular matter depends on its subject, its value and where the cause of action arose, and is confirmed before anything is filed.
This page is general information about an area of practice. It is not legal advice, and it is not an advertisement or a solicitation of work. Reading it creates no advocate–client relationship.
Procedures, limitation periods, court fees, stamp duty and government charges change, and what applies depends on the facts of the particular matter. Nothing here should be acted on without advice on your own documents, and no outcome is promised or predicted.
