Establishing a sole proprietorship — which is not a single registration, whatever the advertising suggests.
Business Registration
It is worth being clear about this at the outset, because a great deal is sold on the contrary basis. A sole proprietorship is not a separate legal entity and there is no single certificate that creates one. The proprietor and the business are the same person in law: the proprietor owns the assets, bears the liabilities personally and is assessed on the income. What people mean by registering a proprietorship is obtaining the registrations that let the business operate under its trading name.
Which of those apply depends on the business. Udyam registration, GST registration where the supply requires it, a registration under the shops and establishments legislation applicable locally, a professional or trade licence for certain activities, and a current account in the trading name. The useful work is deciding which are actually needed and getting the particulars consistent across all of them.
Scope of assistance
Different parts of a matter of this kind are different kinds of work. This is how they divide.
Nothing on this page is an offer to audit accounts or to issue any certificate that only a chartered accountant or company secretary may issue. No professional designation is claimed for anyone at the firm beyond enrolment as an advocate, and no undertaking is given that any particular person will certify, audit or appear in a given matter.
Who this may assist
If your situation is not listed, it does not mean it cannot be dealt with. It means it should be discussed.
You are beginning a business on your own and need to know what to obtain.
You are invoicing clients and need the business properly established.
The business is running and the registrations need putting in order.
The business has grown and a firm, LLP or company is being considered.
Scope
Process
The sequence varies with the facts and the forum. This is the usual shape of it.
What is supplied, to whom, from where, and at what scale.
Assessed against the activity and the current position rather than obtained as a standard bundle.
Trading name, place of business and activity description, kept consistent across every registration.
The applications are made with the supporting documents, and queries answered.
The customer and supplier agreements the business will actually use are drafted alongside.
Preparation
Bringing what you have makes the first discussion considerably more useful. Missing items can be obtained later.

The practice
Each advocate of the firm is enrolled with the Bar Council of Uttar Pradesh and holds a Certificate of Practice.
Questions
There is no single registration that creates a proprietorship, because it is not a separate legal entity. What establishes the business in practice is the combination of registrations applicable to its activity, together with a bank account in the trading name.
Yes. In a proprietorship the proprietor and the business are the same person in law, so business liabilities are personal liabilities. That is the main reason to consider another form as a business grows.
It depends on the nature and volume of your supply and on where you supply from and to. Thresholds are notified and revised, so the position is checked against the current requirement rather than assumed.
A business run as a proprietorship can be moved into a company or an LLP, but it is a transaction with its own documentation and tax consequences rather than a change of label. It is worth planning for rather than improvising.
Where the firm works
The firm's office is in Lucknow. Matters arising in other districts of Uttar Pradesh are conducted from Lucknow before the court, tribunal or authority that has jurisdiction over them. There is no branch office elsewhere. Which forum will hear a particular matter depends on its subject, its value and where the cause of action arose, and is confirmed before anything is filed.
This page is general information about an area of practice. It is not legal advice, and it is not an advertisement or a solicitation of work. Reading it creates no advocate–client relationship.
Procedures, limitation periods, court fees, stamp duty and government charges change, and what applies depends on the facts of the particular matter. Nothing here should be acted on without advice on your own documents, and no outcome is promised or predicted.
